AstraZeneca has agreed to buy German pharmaceutical company Boehringer Ingelheim from German generic drugmaker Apotex in exchange for 30 per cent of its existing shares in the German drug maker.
The transaction, which was announced on Friday, is the latest move by the US-based drugmaker to break free of Apotex and buy the remaining remaining stock in its German healthcare business.
The deal, which was made in an internal memo, will give Apotex an exclusive option to buy Boehringer Ingelheim.
It would then be the first time Apotex will have an exclusive option to buy the remaining German company and its shares, which had been acquired by Boehringer Ingelheim.
Analysts expect the deal to boost AstraZeneca's pharmaceutical businesses, which are in the process of acquiring and selling some of its leading brands, such as Nexium and AstraZeneca's cholesterol medication Lipitor.
The acquisition of Boehringer Ingelheim, which had been linked to a $3.6 billion fine by the Federal Drug Administration, will allow Apotex to acquire Boehringer Ingelheim for $1.6 billion and become its exclusive marketing partner for the drug.
Analysts said the deal is likely to further boost the company's global revenues by more than $3.4 billion, up from $2.2 billion in the second quarter of last year. Apotex would also be subject to regulatory approval from the US Food and Drug Administration.
